Hong Kong Enhances Tax Deductions for Intellectual Property Expenditure

The Hong Kong Government has gazetted the Inland Revenue (Amendment) (Tax Deductions for Intellectual Property Expenditure) Bill 2026 to strengthen Hong Kong's position as a regional intellectual property (IP) trading and innovation hub. The proposed amendments aim to reduce the cost of IP transactions, encourage technology commercialization, and support the growth of knowledge-based industries.

Key Proposed Changes

Under the Bill, businesses may enjoy expanded tax deductions for:

1. Purchase of IP Rights from Associated Companies

  • Tax deductions will be allowed for eligible IP rights acquired from related parties, including group companies.

  • This is intended to encourage multinational groups to centralize IP management functions in Hong Kong.

2. Acquisition of IP Rights Licensed Outside Hong Kong

  • Businesses may claim tax deductions on a proportionate basis where acquired IP rights generate licensing income that is taxable in Hong Kong under the foreign-sourced income exemption regime.

  • This supports cross-border technology transfer and licensing activities.

3. Upfront Licence Fees

  • Tax deductions will be available for upfront licence fees paid for the use of eligible IP rights under licensing arrangements.

  • The measure is designed to further encourage the development and commercialisation of intellectual property.

Effective Date

The proposed changes will apply to contracts for the purchase or licensing of eligible IP rights entered into on or after 1 April 2026.

Anti-Abuse Safeguards

To protect Hong Kong's tax base, the Bill includes several safeguard measures:

  • Introduction of a main purpose test for IP acquisitions from related parties.

  • Rules governing the calculation of deductible amounts for IP acquired from Hong Kong associates.

  • Requirement for an independent third-party valuation report where acquisitions or licensing arrangements involving related parties exceed specified thresholds.

Impact on Businesses

The proposed amendments are expected to:

  • Lower the overall tax cost of IP acquisitions and licensing;

  • Encourage multinational companies to establish IP management and financing activities in Hong Kong;

  • Promote innovation, research and development, and cross-border technology transfers;

  • Further strengthen Hong Kong's competitiveness as a regional IP trading and innovation centre.
